Welcome to Matique.co. These Termsof Use ("Terms") govern your access to and use of the services,website, platform, and related offerings (the “Services”) provided by MatiqueSAS (“Matique”, “we”, “us”, or “our”).

By accessing or using our Services, or by signing any associated agreement, order form, or click-through contract, you agree to be bound by these Terms. If you do not agree, do not use our Services.

These Terms, along with any service-levelagreements or order forms, constitute the entire agreement between you andMatique regarding your use of the Services (“Agreement”).

You agree to use the Services in compliancewith these Terms and all applicable laws. You must not:

• Use the Services for unlawful or prohibited activities.
• Interfere with or disrupt the Services or servers.
• Access the Services via automated means (e.g., bots, scrapers).
• Upload or transmit viruses, malware, or infringing material.
• Attempt to reverse engineer, copy, or modify the Services.

3. Account, Subscription & Billing

If our Services are offered on a subscription basis:

• Subscription details, fees, and usage limits will be specified in the applicable Order Form.
• Subscriptions auto-renew unless cancelled before renewal date.
• Payment obligations are non-cancellable and fees non-refundable.
• We reserve the right to suspend accounts for unpaid fees or abuse of service limits.

4. Termination

You may terminate the subscription at the end of its term. We may suspend or terminate your access if:

• You breach these Terms and fail to cure within 7 days.
• We discontinue the Service with 30 days’ prior notice.
• You exceed agreed usage terms or commit fraud.

Upon termination, your rights to use the Services cease.

5. Intellectual Property

The Services, including all content, code, and data, are the intellectual property of Matique or its licensors. You are granted a limited, non-transferable license to access and use the Services.

You may not copy, modify, distribute, or create derivative works without express permission.

6. Your Content and License Grant

By submitting content (logos, feedback, trademarks, etc.), you grant Matique a non-exclusive, royalty-free, global license to use, reproduce, display, and distribute such content for service provision and marketing purposes, unless otherwise agreed.

You retain ownership of your content but are solely responsible for its legality and accuracy.

7. Third-Party Services and Links

The Services may include links to third-party websites or integrate third-party tools. We do not control and are not responsible for their content or practices.

8. Privacy and Data Protection

We process personal data in accordance with:

• EU GDPR (Regulation 2016/679)
• UK GDPR and Data Protection Act 2018
• U.S. State Privacy Laws (e.g., CCPA/CPRA)

9. Acceptable Use Policy

You agree not to:

• Use the Services to send spam or unlawful communications.
• Resell, sublicense, or provide access to third parties.
• Access data in bulk or for data scraping purposes.
• Use the Services to compete with Matique.

Violations may result in suspension or termination.

10. Consumer Dispute Resolution (France/EU)

EU-based consumers may:

• Submit complaints to Matique at legal@matique.co.
• If unresolved, initiate mediation with a qualified mediator (in France, e.g., Médiation Assurance: http://www.mediation-assurance.org).

Consumers may also pursue legal action in:

• Their place of residence,
• Place of service provision,
• Or where Matique is established (Paris, France).

11. Force Majeure

Neither party shall be liable for failure or delay in performing obligations due to causes beyond their reasonable control (e.g., natural disasters, strikes, internet outages, government actions).

12. Limitation of Liability

To the fullest extent permitted by law, Matique is not liable for indirect, incidental, special, or consequential damages, including:

• Lost profits or revenue
• Business interruption
• Data loss or corruption

Total liability is limited to fees paid in the 6 months preceding the event giving rise to the claim.

13. U.S. Arbitration & Waiver (If Applicable)

If you are a U.S. resident:

• You agree to resolve disputes via binding arbitration, not court litigation.
• You waive class action rights.

This clause applies unless overridden by applicable U.S. consumer protection law or agreed otherwise.

14. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email or on the website with at least 30 days’ notice. Continued use after the effective date constitutes acceptance.

15. Governing Law

• For EU/EEA and UK users: governed by the laws of France.
• For U.S. users: governed by the laws of California (unless otherwise agreed).
